IMPORTANT
Apello Consulting, INC does not provide legal representation or engage in the practice of law. No attorney-client relationship exists unless you have entered into a separate agreement with a licensed Michigan attorney. Communications with Apello Consulting are not protected by attorney-client privilege.
These Terms of Service ("Agreement") govern your use of the services provided by Apello Consulting, INC ("Company," "we," "us," or "our"), located at 4370 Chicago Dr SW STE 118, Grandville, Kent County, Michigan 49418. By using our services, you ("Client," "you," or "your") agree to the following terms and conditions.
1. Acceptance of Terms
By engaging our services, accessing our website, or communicating with our team, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Nature of Services
Apello Consulting, INC is a non-attorney consulting firm. We do not practice law, and our services do not constitute legal advice. Our consultants provide general information, guidance, and document preparation assistance to help clients understand their options regarding debt relief, bankruptcy, credit rebuilding, and TCPA compliance matters.
In accordance with MCL § 600.916, we do not engage in the unauthorized practice of law. We strongly recommend that clients consult with a licensed Michigan attorney for legal advice specific to their individual circumstances.
Our services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
3. No Attorney-Client Relationship
No attorney-client relationship is created by your use of our services. Our consultants are not licensed attorneys and cannot provide legal representation. Any information provided by Apello Consulting is for informational and educational purposes only. Communications with Apello Consulting are not protected by attorney-client privilege.
If you require legal representation, we may refer you to a licensed attorney, but any attorney-client relationship would exist solely between you and that attorney under a separate engagement agreement.
4. Services Offered
Apello Consulting, INC offers the following non-legal consulting services:
- General legal information and education about debt relief options, bankruptcy processes, and consumer rights
- Document summaries and explanations to help clients understand legal documents they have received
- Guidance on available debt relief options, including bankruptcy, consolidation, settlement, and credit rebuilding strategies
- TCPA compliance consulting, including consent documentation review, defense strategy consulting, and compliance program development
- Bankruptcy preparation assistance, including document organization and general process education
- Credit rebuilding guidance and ongoing support services
5. Client Responsibilities
As a client of Apello Consulting, you agree to:
- Provide accurate, complete, and truthful information necessary for us to assist you
- Respond to our communications in a timely manner
- Review all documents and information provided by our team carefully
- Understand that our services are consultative in nature and do not replace the need for independent legal counsel
- Notify us promptly of any changes in your financial situation or contact information
6. Fees and Payment
Fees for our services will be clearly communicated and agreed upon before any work begins. A fee schedule or engagement letter will be provided outlining the scope of services and associated costs.

7. Confidentiality
We take your privacy seriously. All personal and financial information you share with us will be kept confidential and will only be used for the purpose of providing our consulting services, unless disclosure is required by law or authorized by you.
Please note that because we are not a law firm, communications with Apello Consulting are not protected by attorney-client privilege. However, we maintain strict internal confidentiality policies to protect your information. For more information, please review our Privacy Policy.
8. Compliance
Apello Consulting, INC operates in compliance with all applicable Michigan state laws and federal regulations governing non-attorney consulting services, consumer protection, and data privacy. We are committed to maintaining the highest standards of ethical business practices.
Our services comply with the Michigan Consumer Protection Act (MCL § 445.901 et seq.) and we adhere to all applicable federal regulations including the Telephone Consumer Protection Act (TCPA) and the Fair Debt Collection Practices Act (FDCPA) as applicable to our consulting activities.
9. Limitation of Liability
To the fullest extent permitted by law, Apello Consulting, INC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, regardless of whether such damages are based on contract, tort, negligence, strict liability, or otherwise.
Our total liability for any claim arising from our services shall not exceed the total amount of fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Apello Consulting, INC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any rights of a third party.
10. Intellectual Property
All materials, documents, templates, guides, and content provided by Apello Consulting, INC are the intellectual property of the Company and are protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our materials without our prior written consent.
The Apello Consulting name, logo, and all related trademarks and service marks are the property of Apello Consulting, INC.
11. Termination
Either party may terminate the consulting engagement at any time with written notice. Upon termination, you remain responsible for any fees owed for services already rendered. We reserve the right to terminate services immediately if you breach these Terms of Service, provide false information, or engage in conduct that we determine is harmful to our business or other clients.
The provisions of these Terms relating to confidentiality, limitation of liability, indemnification, intellectual property, and governing law shall survive any termination of services.
12. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions. Any legal proceedings arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Kent County, Michigan.
13. Limitation Period
You agree to file any claim related to our services within two (2) years of the event giving rise to the claim. Failure to do so will result in the claim being barred.
14. Dispute Resolution
Any disputes arising out of or relating to these Terms of Service or our services shall be resolved through binding arbitration in Kent County, Michigan, in accordance with the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.
Before initiating arbitration, the parties agree to attempt to resolve any dispute through informal negotiation for a period of at least thirty (30) days. Notice of the dispute shall be sent via email to team@apelloconsulting.com.
15. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. We will make reasonable efforts to notify clients of material changes via email or a prominent notice on our website. Your continued use of our services after any modifications constitutes acceptance of the updated Terms.
16. Interstate Communication
By using our services, you acknowledge that communications between you and Apello Consulting, INC may cross state lines. Our services are available to individuals and businesses throughout the United States, though our consulting operations are based in Michigan. You agree that any communications sent to or received from us may be transmitted through various states and are subject to applicable federal and state regulations.
17. Privacy Policy
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to our collection and use of information as described in the Privacy Policy.
